Ardagh Holdings is preparing a potential sale of Ardagh Metal Packaging (AMP). The board of directors of the parent company has instructed its advisers to prepare a corresponding sales process. In the process, some or all of the indirectly held shares in the beverage can manufacturer could be sold to an external buyer.
According to Ardagh Holdings, a potential transaction could also involve initially acquiring the shares in Ardagh Metal Packaging not yet held by the company. This would make it possible subsequently to sell all shares in Ardagh Metal Packaging to a third party.
Adviser mandated for potential sale
Ardagh Holdings has appointed Evercore International Partners as financial adviser and Kirkland & Ellis International as lead legal adviser for the potential sale process.
Concrete decisions have not yet been made as a result. Further steps, including the conditions and timing of a potential transaction as well as the selection of a buyer, require the approval of the board of directors of Ardagh Holdings. The company has not set a timetable or a deadline for the sale process. Ardagh also emphasises that there is no guarantee the process will actually lead to a transaction.
In connection with these considerations, Ardagh Holdings has submitted an amendment to its Schedule 13D beneficial ownership report originally filed with the US Securities and Exchange Commission on 20 November 2025.
Ardagh Metal Packaging with $5.5 billion in revenue
Ardagh Metal Packaging is one of the leading international manufacturers of metal beverage cans. The company operates 23 production facilities in nine countries across Europe and the Americas, employing around 6,500 people. In 2025, according to company figures, AMP generated revenue of 5.5 billion US dollars.
Ardagh Holdings is the ultimate parent company of the Ardagh Group. The group manufactures metal and glass packaging and operates a total of 58 production facilities in 16 countries. Around 19,000 employees generated revenue of approximately US$9.6 billion in 2025.
