With this acquisition, the Swiss industrial company is strengthening its position in the growing market for aluminium coffee capsules and expanding its Food &amp; Beverage portfolio.<\/strong><\/p>\n<p>Datwyler has signed an agreement to acquire 51 per cent of Capsul'Invest SA and Brain Corp SA, trading together as Capsul'in. The Luxembourg-based company develops and distributes aluminium coffee capsule solutions and generates annual sales of around 90 million euros. The transaction is expected to close in the first quarter of 2026 and the purchase price has not been disclosed.<\/p>\n<h3>Combination of material expertise and innovation know-how<\/h3>\n<p>The majority shareholding gives Datwyler direct access to Capsul'in's development and design expertise. The company is known for its patented capsule designs, customised solutions and fast pace of innovation. In return, Datwyler contributes its expertise in materials technology and industrial production. The transaction will be financed entirely from own funds and is not expected to have a significant impact on net debt.<\/p>\n<h3>Continuity in management and the prospect of a full takeover<\/h3>\n<p>Capsul'in's existing management team will remain with the company and continue to run the operational business, according to the statement. The founders will retain management functions and participate in future growth via an earn-out structure. In addition, a purchase right has been agreed that will enable Datwyler to acquire the remaining 49 per cent by mid-2029 at the latest.<\/p>\n<p>According to the company, this structure will minimise integration costs and ensure continuity for employees and customers. According to Capsul'in, it serves more than 100 customers in the international coffee capsule market.<\/p>\n<h3>Growth through aluminium and regulatory framework conditions<\/h3>\n<p>According to the company, the market for Nespresso-compatible aluminium capsules is growing structurally by around three to five percent per year. Drivers include the premiumisation of the coffee market, increasing technical requirements and the substitution of plastic with aluminium in Europe.
